SuiteHUD Terms of Service

1. Acceptance of Terms

By installing, accessing, or using SuiteHUD (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including individuals using free or trial access and users with paid subscriptions.

2. Use of Service

SuiteHUD is a browser extension that enhances the NetSuite interface. You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations.
• Attempt to reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit any harmful, offensive, or disruptive content.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Resell, sublicense, or otherwise commercialize the Service without our written consent.

3. Accounts

To access certain features of the Service, you must create an account. You are responsible for:

• Providing accurate and complete registration information.
• Maintaining the security of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Payments and Subscriptions

Certain features of SuiteHUD require a paid subscription. By subscribing, you agree to the following:

• Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). Fees are non-refundable except where required by law.
• Upgrades and downgrades: Plan changes take effect at the start of the next billing cycle unless otherwise specified.
• Cancellation: You may cancel your subscription at any time through your account settings. Access continues until the end of the current billing period.
• Price changes: We reserve the right to modify pricing with reasonable notice. Continued use after a price change constitutes acceptance of the new pricing.
• Included credits: Paid plans include an allowance of AI credits, granted per billing period. The number of credits included with a plan or seat is set by SuiteHUD and may change with reasonable notice. Any change applies only to future billing periods and never reduces credits already granted to your account or your team's wallet. Credits included with a subscription are granted for the seats you are billed for; seats provided at no charge do not carry a credit allowance. Included credits have no cash value, are not redeemable for money, and are not refundable.
• Taxes: You are responsible for any applicable taxes associated with your subscription.

5. Referral Program

SuiteHUD may make a referral program available to you, under which you can invite others to try SuiteHUD and may earn rewards, such as free months of service, if they subscribe. Participation is voluntary and subject to the following:

• Invitations: You may send an invitation only to a person known to you personally or professionally who you reasonably believe would welcome it. You may not send invitations in bulk, by automated means, to purchased or harvested address lists, or in any manner that would constitute unsolicited commercial email under applicable law. You are solely responsible for each invitation you send and for how you distribute your referral code or link.
• Earning a reward: A reward is earned only when a person you referred becomes a paying subscriber and the qualifying payment is completed, and is subject to the eligibility conditions and limits published within the Service at that time, including any cap on rewards earned in a given period. SuiteHUD's own records of invitations, referrals, and rewards are determinative in the event of any discrepancy.
• No cash value: Rewards have no cash value and are not transferable, redeemable for money, or refundable. A reward reduces amounts otherwise payable for future billing periods only; it creates no entitlement to a credit, rebate, or payment, and any unused reward is forfeited when your subscription ends.
• Ineligible referrals: Referring yourself, referring accounts controlled by you or your organization, creating duplicate or fraudulent accounts, misrepresenting SuiteHUD or the program, and any other attempt to obtain rewards other than as intended are prohibited. SuiteHUD may withhold, reverse, or cancel any reward obtained by such means and may suspend or terminate participation or the accounts concerned.
• Reversal: If a referred subscription is refunded, reversed, charged back, or cancelled within a refund or trial period, or if the referred account is later found ineligible, SuiteHUD may revoke the related reward, including one already applied to your account, and may charge for any period already discounted by it.
• Changes to the program: SuiteHUD may modify, suspend, or discontinue the referral program, or change its reward amounts, eligibility conditions, or limits, at any time with reasonable notice. Rewards already earned and applied will be honored; rewards not yet earned confer no rights and may be withdrawn.
• Taxes: You are responsible for any taxes arising from rewards you receive.
• Use of the address you enter: An address you submit is used to send that invitation and to attribute the referral to your account, as described in the Privacy Policy. Sending an invitation grants the recipient no access to your account or your data.

6. Intellectual Property

The Service, including all software, design, text, graphics, and other content, is owned by SuiteHUD and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes in accordance with these Terms.

You retain ownership of any data you bring to or create within the Service. By using the Service, you grant us a limited license to process your data solely to provide and improve the Service.

7. AI Features

SuiteHUD offers an optional AI assistant, SuiteHUD AI, along with related features such as AI Lessons, AI Memory, and voice input. SuiteHUD AI itself is off by default and requires your explicit consent and setup before use; the related features have their own defaults and controls, described below and in the Privacy Policy. By enabling and using them, you agree to the following:

• Third-party providers: AI responses are produced by third-party providers (such as Anthropic). Your use of those providers is also governed by their own terms and policies, and SuiteHUD is not responsible for their services or outputs.
• Your credentials and keys: If you supply your own Anthropic API key or authorize a NetSuite connection, you are responsible for keeping those credentials valid and for any usage and charges billed to your key by the provider. SuiteHUD stores supplied AI and NetSuite credentials encrypted on its backend, as described in the Privacy Policy.
• Authorized NetSuite actions: When you connect NetSuite, SuiteHUD AI can read and, where you authorize it, create or update NetSuite records on your behalf. You are responsible for reviewing and confirming these actions, and they remain subject to your existing NetSuite role and permissions.
• Record actions: SuiteHUD AI can run NetSuite record actions (such as approvals, rejections, and status changes) on records in your NetSuite account, using your own NetSuite session. These actions take effect in NetSuite immediately and cannot be undone by SuiteHUD. No action runs without your explicit confirmation, and you are solely responsible for the actions you confirm, including their business and financial consequences.
• Chat history: Unless you use Incognito mode, SuiteHUD stores a text transcript of your SuiteHUD AI conversations against your account, as described in the Privacy Policy. You can turn history off per conversation or by default, and you can delete saved conversations at any time. Deletion is immediate and not recoverable, and SuiteHUD is not obligated to retain transcripts for you.
• Enterprise recording requirement: On Enterprise plans, an administrator may require that conversations on their team's seats are recorded. Where that requirement is in force, Incognito is unavailable on the affected seats and the transcript is stored as submitted, including the NetSuite page context sent with each message. A transcript stored under this requirement remains readable only by the account it belongs to; the requirement determines what is retained, not who may read it. If you use a seat administered by your organization, you accept that your organization may impose this requirement.
• Voice input: SuiteHUD AI can accept dictated input using your browser's built-in speech recognition. The microphone control is offered by default, but no audio is captured until you activate it, and the permission prompt you see comes from your browser, which you may refuse or revoke at any time. Audio is transcribed by your browser's own speech recognition service — operated by the browser vendor, and by Google in the default configuration of Chromium-based browsers. SuiteHUD does not receive, proxy, or store that audio, and no audio is transmitted to SuiteHUD's systems; while you dictate, the extension analyzes a microphone stream locally and transiently to display a level indicator, and that stream is never recorded, buffered, or transmitted. Your use of your browser's speech recognition service is governed by your browser vendor's terms and privacy policy rather than these Terms. SuiteHUD makes no representation or warranty as to the accuracy of any transcription or the availability of on-device recognition, and accepts no responsibility for the browser vendor's handling of audio. A transcription is placed in the message box for you to review; if you send it, it is treated in all respects as text you typed. You may switch voice input off in settings, and where your organization administers SuiteHUD it may be switched off for all members.
• Accuracy: AI output may be inaccurate, incomplete, or out of date. You are responsible for reviewing AI-generated content and actions before relying on them, and you should not treat AI output as professional, legal, financial, or accounting advice.
• File attachments: SuiteHUD AI lets you attach files to a message. Attaching files is optional and always user-initiated — nothing is attached or sent unless you attach it. Attached content is sent to the AI provider as described in the Privacy Policy. You are responsible for the files you choose to attach, including ensuring you are authorized to share any confidential, personal, or regulated data they contain, and for staying within the stated attachment limits.
• Usage and credits: AI usage may consume credits or be billed to your own provider key, depending on the mode you choose. Credit purchases, included credit allowances, and consumption are subject to these Terms, including the payment, included-credit, and refund provisions above.
• AI Lessons and publishing: SuiteHUD AI lets you distill a conversation into a reusable "lesson." Lessons you save stay private to your account unless you explicitly choose to share them with your enterprise team or submit them for public review. You retain ownership of the lessons you create; by sharing or publishing a lesson, you grant SuiteHUD and the recipients a non-exclusive license to store, display, and use the sanitized lesson snapshot as described in the Privacy Policy. You are responsible for ensuring that any lesson you share or publish does not contain confidential, personal, or proprietary information you are not authorized to disclose.
• Moderation and removal: Lessons submitted for public review are reviewed before they appear on the public SuiteHUD AI page, and SuiteHUD may reject, remove, or revoke any submitted or published lesson at any time and for any reason. You may withdraw a team-shared or publicly published lesson at any time; however, copies already accepted or downloaded by other users remain in their own accounts and are not retroactively deleted.
• AI Memory: SuiteHUD AI includes an optional, off-by-default AI Memory feature that, when you enable it, saves short notes about recurring patterns in your NetSuite setup to improve future conversations, as described in the Privacy Policy. Memory notes are scoped to your individual account and are not shared with other users. You can view and delete memory notes at any time and can turn the feature off whenever you want; turning it off stops new notes but does not automatically delete existing ones. Saved memory notes may be included in content sent to the AI provider on future SuiteHUD AI requests. You are responsible for reviewing memory notes and deleting any you do not want retained or used.

8. User Content, Notes, and Tasks

Certain features, such as Notes, Tasks, and AI Lessons, let you create content within the Service ("User Content"). You retain ownership of your User Content. By posting or sharing it, you grant SuiteHUD a limited license to store, display, and transmit it as needed to provide the feature — for example, showing a note thread to teammates you mention or assign. You agree that:

• Optional profile pictures are also User Content. Only upload images you have the right to use; do not impersonate another person or upload unlawful or abusive imagery. A profile picture is not proof of identity.
• You are responsible for what you write. Note and task text is stored as written when you post it and is not filtered or redacted, so do not include personal, customer, or regulated data you are not authorized to share.
• Mentioning a teammate on a note or reply grants that person read access to the entire thread, and the *team mention grants it to everyone at your company. Assigning a task to a teammate grants that person the same read access to the thread and notifies them. Both mentions and assignments require an Enterprise plan, and these grants are made by you, not by SuiteHUD.
• A task may carry a due date, a completion state, and a saved SuiteHUD AI prompt. A saved prompt is stored only — SuiteHUD never runs it on its own, and there is no scheduler or background execution. A saved prompt runs only when you click it, and a prompt that would perform a record action still requires the same explicit confirmation described in Section 7 above.
• Notes and tasks are subject to the retention and expiration rules described in the Privacy Policy, including automatic deletion of open threads after 90 days of inactivity and resolved or completed threads after a further 30 days. A task's due date, assignee, and saved prompt are deleted with the task. SuiteHUD is not a system of record, and you should not rely on notes or tasks as your only copy of important information.
• SuiteHUD may remove User Content that violates these Terms or applicable law.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
• Any warranty regarding the accuracy, reliability, or completeness of any content or data within the Service.

SuiteHUD is a third-party tool and is not affiliated with, endorsed by, or in any way officially connected with Oracle or NetSuite. NetSuite® is a registered trademark of Oracle.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SUITEHUD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination:

• Your right to use the Service will immediately cease.
• Any provisions of these Terms that by their nature should survive termination will remain in effect.
• You may request export of your data prior to termination where technically feasible.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts located in the applicable jurisdiction. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date above and, where appropriate, by sending a notification to your registered email address. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.
